These Marketplace Listing Terms (“Listing Terms”) are between Dhanvantari AI Lab Private Limited (“Platform”, “we”, “us”) and the healthcare provider accepting them (“Provider”, “you”). They govern your opt-in to be listed on the Zivo Marketplace inside the ZivoHealth app.
These Listing Terms supplement our Terms and Conditions, Privacy Policy, and Data Processing Addendum (India). If there is a conflict regarding marketplace listing, discovery, or appointment commerce, these Listing Terms prevail for that subject matter.
The Zivo Marketplace is the in-app directory and booking surface where users may discover providers, view profiles, and book consultations (including AI-response verification and full clinical consults).
We operate a technology marketplace and intermediary. We facilitate discovery, scheduling, payments, and related tools. We do not provide medical diagnosis or treatment and we do not employ you unless separately agreed in writing.
A doctor–patient relationship is formed only between you and the patient when a consultation commences—not between the patient and the Platform.
By enabling Marketplace listing, accepting these terms in the provider portal, or maintaining a public profile after notice of updated terms, you agree to these Listing Terms.
Listing is optional. You may onboard your own patients and use the provider portal for linked patients—nutrition profiles, meal plans, consults, and monitoring—without marketplace listing, where the product allows.
To remain listed, you represent and warrant that you:
We may request verification documents and may refuse, suspend, or remove listing if eligibility cannot be confirmed.
You are solely responsible for the accuracy of your profile, including photograph, biography, specialty, languages, fees, availability, and service descriptions.
You agree not to misstate qualifications, guarantee cures, list services you are not licensed to provide, or impersonate another practitioner.
You grant the Platform a non-exclusive, royalty-free licence to display, index, and promote your profile within the ZivoHealth app and related marketing for marketplace operation.
We do not guarantee placement, ranking, impressions, or a minimum number of leads.
When a user books through the Marketplace, you are responsible for the clinical advice, diagnosis (where permitted), treatment plan, prescriptions, lab orders, and documentation you provide.
You must follow applicable Telemedicine Practice Guidelines, obtain patient consent before accessing health data beyond booking scope, and instruct patients to use emergency services (e.g. 102/108) for emergencies.
Platform AI tools (meal-plan drafting, ambient listening, summaries) are assistive only. You review and approve all clinical outputs before they are relied upon or shared with patients.
We do not charge a fee to create or maintain a public Marketplace listing. Profile display, discovery, matching, and related listing tools are provided at no charge. We may earn revenue only through commission on paid consultations booked through the Marketplace—not through listing fees.
You set (or accept) consultation fees and service types shown at booking, subject to product controls and applicable law.
Patients pay at booking through Razorpay (or another designated gateway). Consultation fees are separate from ZivoHealth subscriptions or wallet credits and are not Apple/Google in-app purchases.
The Platform retains a marketplace commission (plus applicable GST on commission) as disclosed in the provider portal or at checkout at the time of booking. Your net share is the patient payment minus platform commission, taxes on commission, and any cancellation charges under policy.
Your share is paid to your registered bank account after successful payment capture and applicable appointment outcome, subject to valid tax identity, refunds, chargebacks, and compliance review. Settlement may be by manual bank transfer or RazorpayX payouts when enabled.
We issue billing documents per our marketplace billing policy. You are responsible for your own GST, income tax, and professional reporting.
Cancellation and refund rules shown at booking and in the provider portal apply. If you cancel or fail to attend without permitted cause, the patient may receive a refund per policy and your payout may be reduced or forfeited. Repeated no-shows or abuse may lead to delisting.
For clinical records, you are the Data Fiduciary under the DPDP Act, 2023; the Platform is Data Processor as described in the Data Processing Addendum. Access only consented data and use it only for lawful treatment purposes.
You will not harass patients, discriminate unlawfully, solicit off-platform payments to evade fees, share patient data unlawfully, engage in fraud, or manipulate reviews or search ranking.
We may display patient feedback and investigate complaints. Outcomes may include warnings, temporary delisting, or permanent removal.
We may suspend or remove your listing for breach, failed verification, invalid payment or tax identity, safety concerns, or product changes on reasonable notice where practicable. Delisting does not automatically delete records required by law.
THE MARKETPLACE IS PROVIDED “AS IS”. WE DO NOT WARRANT UNINTERRUPTED LEADS, BOOKINGS, OR REVENUE. WE ARE NOT LIABLE FOR YOUR CLINICAL ACTS OR PATIENT OUTCOMES.
Because Marketplace listing is free, to the maximum extent permitted by law the Platform has no liability for claims arising from free listing and discovery services—including profile display, search ranking, AI matching, lead volume, or whether you receive bookings or revenue from listing alone. This does not limit liability where it cannot be excluded or limited by law, or liability arising from paid marketplace services (such as payment processing or commission on consultations), which remain governed by these Listing Terms and our Terms and Conditions.
You will indemnify the Platform from claims arising from your profile, clinical services, regulatory non-compliance, tax misreporting, or breach of these Listing Terms.
We may update these Listing Terms with notice via the portal or email. Continued listing after the effective date constitutes acceptance. You may delist if you do not agree.
These Listing Terms are governed by the laws of India. Courts at Bengaluru, Karnataka have exclusive jurisdiction, subject to mandatory protections that cannot be waived.
